Upgraded Referral Program Terms & Conditions

These terms (“Terms”) govern participation in the Upgraded Referral Program (“Program”). By participating, you agree to these Terms.

1. Eligibility

• The Program is open only to current Upgraded customers located in the United States.
• Participants must be 18 years or older.
• Upgraded reserves the right to exclude certain states or jurisdictions where referral rewards are restricted by law.

2. How It Works

• Share your unique referral code with friends, family, or personal contacts.
  
• When someone uses your code, they’ll receive $40 off their first order.
• Once their order is complete and the return window has closed, you’ll receive a $20 gift card as a referral reward.

3. Limitations & Prohibited Uses

• Referral codes may not be posted on coupon, deal, or discount websites.
  
• Referral codes may not be posted publicly on Reddit, forums, or similar communities (direct 1:1 messages are allowed).
  
• No spamming, bots, paid advertising, or misleading statements may be used to distribute codes.
  
• Codes may not be sold, bartered, or transferred.

4. Rewards & Payouts

• Rewards are only granted once the referee’s order is confirmed and outside the return/cancellation period.
  
• Rewards will be delivered as gift cards through our third-party provider.
  
• Participants are responsible for reporting and paying any taxes that apply to referral rewards.

5. Fraud & Abuse

• Self-referrals (using your own code) are not allowed.
  
• Upgraded may deny or revoke rewards if it suspects fraud, abuse, or violation of these Terms.
  
• Upgraded may suspend or disable referral privileges and cancel existing codes at its sole discretion.

6. Program Changes

• Upgraded may modify or terminate the Program at any time, for any reason, without notice.
  
• Rewards earned but not yet delivered may be withheld if changes are made.
  
• Continued participation constitutes acceptance of updated Terms.

7. Liability

• Upgraded is not responsible for lost, delayed, or misdirected rewards, or for issues caused by third-party providers.
  
• Upgraded’s decisions regarding the Program are final and binding.
